These Terms of Service ("Terms") govern your access to and use of PAIchat, including the PAIchat mobile application, web experiences, AI agents, integrations, and related services (collectively, the "Service"). The Service is provided by PaiChat, Inc. ("PAIchat," "we," "us," or "our").
Please read these Terms carefully. By creating an account, connecting an integration, sending a message, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who May Use the Service
You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with permission from a parent or legal guardian.
You may use the Service only if you can form a binding contract with us and are not barred from using the Service under applicable law.
2. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate account information and keep it up to date.
If you believe your account has been compromised, contact us at support@paichat.ai as soon as possible.
3. The Service
PAIchat is a messaging and personal AI assistant application. Depending on the features you use, the Service may allow you to:
- Send and receive individual or group chat messages.
- Ask an AI assistant to help summarize, rewrite, plan, search, or respond.
- Connect calendar, email, location, and other third-party services.
- Share photos, attachments, saved places, route cards, calendar cards, draft email cards, and other content in chat.
- Ask the AI assistant to prepare drafts, retrieve information, create or update calendar events, recommend places, or initiate phone-call or messaging workflows through supported tools.
- Store and retrieve memories so the assistant can provide more personalized responses.
Some features may be experimental, may change over time, and may not be available in every region, app build, or account.
4. AI Features
PAIchat uses artificial intelligence. AI-generated responses may be incomplete, inaccurate, outdated, or inappropriate for your situation. You are responsible for reviewing AI outputs before relying on them or acting on them.
The Service is not a substitute for professional advice. Do not rely on the Service for medical, legal, financial, emergency, or safety-critical decisions.
When the assistant prepares a draft, recommendation, calendar action, phone-call request, or other output, you are responsible for confirming that it is accurate and appropriate. Where the product provides a review or confirmation step, you must review the action before sending or approving it.
5. User Content
"User Content" means messages, photos, attachments, prompts, profile information, calendar details, emails, location information, instructions, contacts, phone numbers, call objectives, saved places, and other information you provide, connect, submit, transmit, or make available through the Service.
You retain ownership of your User Content. You grant PAIchat a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, modify, and use your User Content only as needed to operate, provide, improve, secure, and support the Service, comply with law, and enforce these Terms.
You represent that you have the rights needed to provide User Content to the Service and to authorize our processing of it under these Terms and our Privacy Policy.
6. Messaging and Shared Content
Messages and shared content may be visible to other participants in the conversation where you send them. If you share location information, route cards, attachments, or AI-generated cards in a chat, those items may reveal sensitive information to chat participants.
You are responsible for the content you share and for choosing who you communicate with.
7. Third-Party Integrations
The Service may allow you to connect third-party services, such as Google Calendar, Gmail, Apple Calendar, maps and geocoding services, phone-call providers, authentication providers, cloud infrastructure, and other services.
When you connect a third-party service, you authorize PAIchat to access, process, and act on information from that service as needed to provide the requested feature. For example, you may authorize PAIchat to read calendar availability, create or update calendar events, search or summarize emails, prepare email drafts, or use location information for route and meeting-place features.
Your use of third-party services may also be governed by the third party's own terms and privacy policies. We are not responsible for third-party services, and we do not control their content, policies, availability, or security practices.
You may disconnect supported integrations through the app or the applicable third-party account settings.
8. Google API Services
If you connect Google services, PAIchat's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. We use Google user data only to provide or improve user-facing features that are visible in the Service, such as calendar, email, assistant, and personalization features you request.
We do not sell Google user data. We do not use Google user data for advertising, retargeting, personalized ads, credit-worthiness, or lending purposes.
9. Phone Calls, SMS, and Communications Tools
The Service may include features that help initiate, monitor, summarize, or manage phone calls or messages through third-party providers. You are responsible for ensuring that any phone number, contact, call objective, SMS instruction, or communication request you provide is lawful and appropriate.
You agree not to use the Service to make or request calls or messages that are fraudulent, harassing, abusive, threatening, unlawful, unsolicited, or otherwise violate these Terms or applicable law. You are responsible for obtaining any required consent before recording, transcribing, monitoring, or sending communications.
PAIchat is not an emergency service. Do not use the Service to contact emergency services or for urgent safety-critical communications.
10. Location Features
Location features are provided for convenience, such as sharing pins, finding meeting points, creating routes, or helping chat participants coordinate. Location data may be inaccurate, delayed, unavailable, or incomplete.
Do not rely on PAIchat location features for emergency response, personal safety, navigation in hazardous conditions, or other safety-critical uses.
11. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Harass, threaten, abuse, impersonate, exploit, or harm another person.
- Send spam, scams, fraudulent requests, phishing messages, or unauthorized marketing.
- Invade privacy, collect sensitive information without permission, or share another person's private information without authorization.
- Upload malware or interfere with the Service's operation, security, or availability.
- Reverse engineer, scrape, or access the Service in an unauthorized way.
- Circumvent safety, rate-limit, access-control, or usage restrictions.
- Use AI outputs to mislead others about whether content was generated by a human or by AI where disclosure is legally required.
- Use the Service for high-risk decisions, including decisions about employment, housing, credit, insurance, medical care, legal rights, or public benefits.
We may remove content, restrict features, suspend accounts, or terminate access if we believe you have violated these Terms or created risk for PAIchat, users, third parties, or the Service.
12. Intellectual Property
PAIchat and its licensors own all rights, title, and interest in the Service, including software, designs, logos, trademarks, service marks, and other proprietary materials. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described in these Terms.
You may not copy, modify, distribute, sell, lease, or create derivative works from the Service except as permitted by law or expressly authorized by us.
13. Feedback
If you send us suggestions, ideas, bug reports, or other feedback, you grant us the right to use that feedback without restriction or compensation to you.
14. Paid Features
Some features may require payment or a subscription in the future. If paid features are offered, additional payment terms may apply and will be presented before purchase.
15. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, if your use creates risk, or if we discontinue the Service or a feature.
After termination, provisions that by their nature should survive will survive, including provisions about intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution.
16. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, PAIchat disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, error-free, accurate, or available at any particular time or location. We do not warrant that AI outputs, recommendations, memories, integrations, communications, or location features will be accurate, complete, reliable, or suitable for your needs.
17. Limitation of Liability
To the fullest extent permitted by law, PAIchat and its affiliates, officers, employees, agents, partners, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, loss of goodwill, service interruption, computer damage, system failure, or the cost of substitute services.
To the fullest extent permitted by law, PAIchat's total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid to PAIchat for the Service in the 12 months before the event giving rise to the claim, or (b) USD $100.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
18. Indemnity
You agree to defend, indemnify, and hold harmless PAIchat and its affiliates, officers, employees, agents, partners, suppliers, and licensors from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your User Content, your use of the Service, your violation of these Terms, or your violation of law or third-party rights.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.
Before filing a claim, you agree to contact us at legal@paichat.ai so we can try to resolve the dispute informally. If we cannot resolve it, disputes will be handled in the state and federal courts located in or serving Gwinnett County, Georgia, unless applicable law requires otherwise.
20. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice as required by law, such as by posting the updated Terms, sending an email, or showing an in-app notice. The updated Terms will be effective when posted unless a later effective date is stated.
Your continued use of the Service after changes become effective means you accept the updated Terms.
